Terms of Service

These Terms of Service govern your use of our products and services. Please read them carefully. By accessing or using our services, you agree to these terms. If you do not agree, please refrain from using our services.
1. Definitions
- Cemacs: Refers to Asaro B.V., a company registered in the Netherlands, with its principal place of business at 6504 CA, Nijmegen.
- Customer: The individual or legal entity entering into an agreement with Cemacs.
- Services: All cloud-based safety and security solutions provided by Cemacs.
- Agreement: The contractual relationship between Cemacs and the Customer, including these Terms and any additional agreements.
2. Applicability
- These Terms apply to all offers, agreements, and Services provided by Cemacs unless otherwise agreed in writing.
- In the event of a conflict between these Terms and any written agreement, the terms of the written agreement prevail.
- Cemacs expressly rejects any general terms and conditions provided by the Customer.
3. Services
- Cemacs grants the Customer a non-exclusive, non-transferable right to use the Services.
- Cemacs continuously develops and updates its Services. Features and functionality may change over time.
- Cemacs aims to provide Services with high availability but does not guarantee uninterrupted operation.
4. Customer Obligations
- Use the Services in compliance with all applicable laws and regulations, including data protection laws.
- Provide accurate and complete information as required for service delivery.
- Maintain the confidentiality of login credentials and notify Cemacs of unauthorized use.
- Avoid using the Services to store or transmit unlawful, infringing, or harmful content.
5. Fees and Payment
- Fees for Services will be communicated during account setup or subscription initiation.
- Payment terms are 14 days from the invoice date unless otherwise agreed in writing.
- Late payments incur interest as per statutory interest under Dutch law, along with reasonable recovery costs.
- Cemacs reserves the right to suspend Services in case of non-payment.
6. Intellectual Property
- Cemacs retains all rights to its Services, technology, and related materials.
- The Customer may use Cemacs’ Services and materials solely for internal purposes as outlined in the Agreement.
- Reverse engineering, sublicensing, or reproducing Cemacs’ intellectual property is prohibited without written consent.
7. Data Protection
- Cemacs processes personal data in accordance with the General Data Protection Regulation (GDPR) and the Dutch Data Protection Act.
- The Customer retains ownership of their data. Cemacs acts as a data processor and processes data only as necessary to deliver the Services.
- Cemacs implements appropriate technical and organizational measures to secure personal data. For details, refer to our Privacy Policy.
8. Warranties and Disclaimers
- Cemacs warrants that the Services will substantially conform to the documentation provided.
- Except as explicitly stated, the Services are provided “as is” and without additional warranties.
- Cemacs does not guarantee that the Services will meet all Customer requirements or that they will operate uninterrupted or error-free.
9. Limitation of Liability
- Cemacs is liable only for direct damages resulting from intentional misconduct or gross negligence.
- Cemacs’ liability is limited to the amount paid by the Customer for the Services in the 12 months preceding the claim.
- Cemacs is not liable for indirect or consequential damages, including lost profits, data loss, or business interruption.
10. Term and Termination
- The Agreement remains in effect until terminated by either party.
- Either party may terminate the Agreement for material breach, provided written notice is given and the breach is not remedied within 30 days.
- Upon termination, the Customer must cease using the Services and return or destroy all materials provided by Cemacs.
11. Governing Law and Dispute Resolution
- These Terms are governed by the laws of the Netherlands.
- Any disputes will be resolved exclusively in the courts of the district where Cemacs is registered.
